NAME
The name of this non-profit organization shall be the Historic Hudson Community Association, Inc., hereafter referred to as the Association.
MISSION STATEMENT
The mission of the Association is to preserve the integrity and historic significance of the neighborhood, and foster an atmosphere of community among neighbors through programs, events and activities.
BOUNDARIES
The Association area is bounded by State Route 16 on the south, Channel Street on the north, the railroad tracks on the east, and Mt. Vernon Road on the west.
ARTICLE I – Objectives
To encourage an understanding and appreciation of architectural heritage and historic preservation within the Association area and the community at large.
To function as the voice of the community in its engagement with greater Newark.
To enhance and protect the properties within the Association area.
To develop and promote educational and social programs and events of interest to residents of the Association area.
To foster within the residents of the Association an appreciation of the area and a sense of pride in the neighborhood.
ARTICLE II – Membership and Dues
Section 1. Membership shall be open to any person regardless of race, color, creed, sex, national origin or sexual orientation.
Section 2. The membership term shall be from January 1 to December 31. Renewals shall be due to the treasurer by January 31 of each year. The dues schedule shall be reviewed annually by the Board. Any change shall be presented to the membership in October and shall become effective on the following January 1st.
Section 3. Regular Member: A Regular Member is a person who has paid dues, who wishes to support the purposes of the Association, and who lives or owns real estate in the Association area. Regular Members may also include the following:
Senior Member – any person 62 years of age or older, and is otherwise qualified for Regular Membership.
Student Member – any person who is a full time student, and is otherwise qualified for Regular Membership.
Life Member – any person, otherwise qualified for Regular Membership, who pays the lifetime dues amount in one lump sum.
Section 4. Associate Member: An Associate Member is a person who has paid dues, who wishes to support the purpose of the Association, but either does not live in the Association area or does not own real estate in the Association area. Associate Members are non-voting members, but may serve on Association committees.
Section 5. Business/Professional Member: A Business/Professional Member is any business or professional entity that has paid dues and wishes to support the purpose of the Association. A Business/Professional Member that is based in the Association area or owns real estate in the Association area is a voting member of the Association. A Business/Professional Member that is not based in the Association area or does not own real estate in the Association area is a non-voting member of the Association.
ARTICLE III – Officers
Section 1. The Officers of the Association shall be president, vice president, secretary and treasurer. The Officers of the Association shall be members of the Board of Trustees and shall also serve as officers of the Board.
Section 2. An Officer shall be a Regular Member for one year prior to taking office.
Section 3. Officers shall be elected by a majority of the ballots cast by regular members at the November meeting. A slate shall be presented to the membership by the Nominating Committee one month prior to the November election. Nominations will be accepted from the floor on the voting day with the approval of the nominee. Voting shall be by written ballot or voice vote.
Section 4. The term of office shall be two (2) years, with terms running from January through December. Officers may run for consecutive terms. The president and secretary shall be elected in the odd numbered years and the vice president and treasurer shall be elected in even numbered years.
Section 5. Duties of Officers:
President – The President shall preside at all meetings of the Association and at all meetings of the Board. The president shall be an ex officio member of all committees, except the Nominating Committee.
Vice President – The Vice President shall preside at all meetings and perform all duties in the absence of the President. The Vice President may be assigned particular duties by the President. If the office of the President becomes vacant, the Vice President immediately assumes the duties of the President. A new vice president may be appointed by a majority of the Board.
Secretary – The Secretary shall keep, or cause to be kept, accurate and permanent records of the meetings of the Association and the meetings of the Board. The Secretary shall perform such other relevant duties as may be required by the Board.
Treasurer
– The Treasurer shall receive and disburse all funds of the
Association in a timely manner, shall keep a true and accurate record
thereof, and shall pay all bills duly authorized and approved by the
Board. The Treasurer shall collect all dues.
Section 6. If an office, other than the office of President, becomes vacant during a term, a Regular Member meeting the qualifications for the office may be appointed for the remainder of the term by a majority vote of the Board.
Section
7. If an Officer fails to perform stated duties or if he/she acts
contrary to the mission statement of the Association, that Officer
may be removed from office by a majority vote of the Board. Three
successive, unexcused absences from regular Board meetings and
regular membership meetings, constitutes resignation.
ARTICLE IV – Board of Trustees
Section 1. The management of the Association shall be vested in a Board of Trustees, consisting of the Association officers (president, vice president, secretary and treasurer) and four Regular Members of the Association. The Board shall supervise the affairs of the Association between regular meetings and make recommendations to the Association. Its actions shall in no way interfere with the actions of the Association or conflict with the stated purpose of the Association.

2. All Board members shall be regular members.
Section 3. Trustees shall be elected by a majority of the ballots cast by regular members at the November meeting. A slate shall be presented to the membership by the Nominating Committee one month prior to the November election. Section 4. The term of office shall be two (2) years, with Terms running from January through December. All current Trustees may run for consecutive terms and shall serve until their successors are duly elected. Half of the Board will be elected in even numbered years and half in odd numbered years
Section 5. If a trustee position becomes vacant during a term, a Regular Member meeting the qualifications may be appointed by a majority vote of the Board for the remainder of the term.
Section 6. Removal from Office: If a Trustee fails to perform stated duties or if he/she acts contrary to the mission statement of the Association, that Trustee may be removed from office by a majority vote of the Board. Three successive, unexcused absences from regular Board meetings and regular membership meetings, constitutes resignation.
ARTICLE V – Meetings
Section 1. Regular Meetings: Regular meetings of the Association will be held monthly, except for the months of June, July and August.
Section 2. Board of Trustee Meetings: Board meetings will be held, at the minimum, quarterly.
Section 3. Special Meetings: Special meetings of the Association may be called by the President or at the written request of a majority of the Regular Members. Notice of a special meeting of the Association shall be e-mailed to members two (2) weeks prior to the meeting. Special meetings of the Board may be called by the President or at the written request of three (3) members of the board.
Section 4. Quorum: A quorum at regular meetings shall be five (5) Regular Members. A quorum at meetings of the Board of Trustees shall be five (5) board members. The president shall vote only in the case of a tie.
Section 5. Rules of Order: Robert’s Rules of Order, Newly Revised, shall govern all business of the Association.
ARTICLE VI – Committees
Section 1. Nominating Committee: The Committee shall consist of two Regular Members of the Association. The President shall not be a member of the Nominating Committee. The Committee shall present a slate of officers (1) one month prior to the regular November meeting.
Section 2. Beautification & Historic Preservation Committee: The Committee shall seek ways to beautify and improve the area for the enjoyment of all that live in and visit the area.
Section 3. Membership Committee: The Committee shall develop methods to recruit new members and retain current members of the Association.
Section 4. Program Committee: The Committee shall arrange and coordinate programs for regular meetings that will be of interest to the Association.
Section 5. Media Committee: The Committee shall produce press releases and newsletters to keep the membership and the community aware of Association activities. The Committee shall also be responsible for content on the Association’s web site.
Section 6. Scholarship Committee: The Committee shall consist of three (3) Regular Members, one (1) of whom shall also be a member of the Board of Trustees. The Committee shall coordinate the solicitation of scholarship applications for the Joe Kennedy Scholarship. The Committee shall evaluate all scholarship applications and select the recipient.
Section 7. Fundraising Committee: The Committee shall consist of Regular Members, at least one (1) of whom shall also be a member of the Board of Trustees. The Committee shall plan and execute, with the approval of the Board of Trustees, events designed to raise funds for the Association.
Section 8. Ad Hoc Committees: These committees may be appointed by the president as needed for specific purposes.
ARTICLE VII – Fiscal Year
The Association’s fiscal year shall be from January 1 to December 31. Financial records shall be maintained under General Accounting Principles.
ARTICLE VIII – Amendments to Bylaws
Section 1. These bylaws may be altered, supplemented or amended in any respect at any duly constituted meeting of the Association, provided that notice of any proposed amendment has been given in writing to the regular members at least one month prior to that meeting. The Secretary will distribute the proposal and the recommendations to members of the Association.

2. A two-thirds majority of the voting members in attendance at a
regular monthly meeting is required to adopt amendments to the
bylaws.
